Thomas Braiden is a partner in the Firm's International Corporate Practice Group. He advises on a wide range of corporate matters in a number of different industries.

Tom has extensive experience advising public and private companies (as well as family offices and other private investors) on IPOs and secondary fundraisings (both AIM and Official List), mergers and acquisitions, joint ventures, venture capital, commercial contracts, corporate governance issues, and other general corporate advice.

Prior to joining Brown Rudnick, Tom was an associate at Slaughter and May.



In recent years, Tom has worked on the following matters:

Represented Arix Bioscience plc, a global healthcare and life science company that sources, finances and develops both start-up and later stage companies across the healthcare and life science sectors, on (i) its initial public offering and admission to trading on the standard segment of the Main Market of the London Stock Exchange, which Arix raised total gross proceeds of £100 million in its oversubscribed initial public offering; and (ii) on its subsequent £100 million secondary fundraising.

Represented N+1 Singer on the admission of the entire issued share capital of Renalytix AI plc to trading on AIM, which raised approximately £25 million through a placing, US subscription and restricted offer to shareholders of EKF Diagnostics Holdings plc. 

Represented the shareholders of Parkwalk Advisors Ltd, the UK’s leading university spin-out focused EIS fund manager, on the sale of Parkwalk to IP Group plc.

Advising family offices and other private investors on structuring and executing a broad range of transactions around the world including M&A deals, joint venture transactions and other bespoke investments.

Representing both investors and investee companies in connection with numerous venture capital and growth equity transactions.

Representing Boon Rawd Trading International on the execution of its new distribution partnership with Shepherd Neame, under which Shepherd Neame has become the sole distributor of Singha beer in the UK.

£2.3 billion merger of Ladbrokes plc with certain businesses of the Gala Coral Group.

Diageo Africa B.V.’s acquisition of United National Breweries’ traditional sorghum beer business in South Africa.

Costain Group plc on its £75 million equity capital raising.

Demerger of South32 Limited from BHP Billiton plc to form a new globally diversified metals and mining company.

Transfer of Gervinho from Arsenal F.C. to A.S. Roma.
