Samuel Toomey is an Associate in the Firm's Corporate Practice Group.

Sam advises private and public company clients in a range of corporate and transactional matters, including state and federal securities compliance, debt and equity financings, corporate governance, entity formation, and mergers and acquisitions. Sam has represented clients in various industries, including emerging companies, life sciences, medical technology, computer software, and human resource management. In addition, Sam represents creditors' committees and trust administrators in connection with the formation, funding, and operation of creditors' trusts.

Prior to joining Brown Rudnick, Sam served as a judicial intern to the Honorable George A. O'Toole Jr., U.S. District Court for the District of Massachusetts.

While at Boston University School of Law, Sam assisted in the pro bono representation of individuals not otherwise entitled to counsel through its Wrongful Convictions Practicum and its Compassionate Release Practicum. Sam was also a member of the Boston University International Law Journal.


Represented HotKnot Therapeutics, Inc. in connection with its Series A financing.

Advises clients in a variety of industries regarding SEC disclosure and reporting requirements.

Represents public companies in connection with private placements and public offerings of debt and equity securities.

Assists clients with entity formation and ongoing corporate governance.

Represents trust administrators in connection with the operation and management of creditors’ trusts.
