Max Binney is an Associate in the Firm’s Corporate Practice Group.

Max has recent experience on venture capital transactions and corporate venturing, working for both investors and investees as well as advising clients on a broad range of corporate transactions including mergers and acquisitions, joint ventures, corporate governance, and other general corporate matters.

Max also has experience in equity capital markets, working on IPOs on the AIM and Main Markets of the London Stock Exchange working with companies, sponsors, nominated advisers, brokers, and institutional investors. He has represented domestic and international companies on a number of dual listings.


Acted for Clarks on their rescue deal, in particular with the injection of £100 million of equity from LionRock Capital, and associated restructuring.

Acted for GB News on the fundraising and launch of the UK’s first major TV news channel in over 20 years.

Acted for Arbor Education Partners Group Limited on its £30 million sale to The Key Support Services Limited (The Key), part of the Darwin Acquisitions Limited group. Brown Rudnick acted for the founders, Social Venture Fund II GmbH & Co KG (SVF) managed by Ananda, Nesta Partners Limited (Nesta) and other shareholders of Arbor Education.

Acted for SVF, one of Europe’s largest social impact venture funds, and Nesta on an investment round into Third Space Learning, a personalized online maths tuition platform.

Acted for Recycling Technologies Limited (which turns hard-to-recycle plastics into an oil used for new plastic production) on their EUR 10 million Series A part-closure. Investors included Neste Oyj and Althelia Sustainable Ocean Fund SICAV-SIF.

Acted for Taseko Mines, the North American focused copper producer and developer, for the admission of its shares to trading on the standard segment of the Main Market.

Acted for TSX-listed Valeura Energy on its dual listing on the standard segment of the Main Market.

Acted for MOD Resources, an ASX-listed copper exploration firm, on its standard direct dual listing to the Main Market.
