Special Situations, Distressed Debt & Trading
Eleni Zodiates is a Counsel in the Firm’s Special Situations, Distressed Debt & Trading Practice Group. She has experience in a wide range of sophisticated and bespoke international finance transactions, including Special Situations, Real Estate Finance (acquisition and development), asset-backed financing in Emerging Markets and Acquisition Finance. Eleni acts for a range of market participants including private equity funds, investment banks and corporate borrowers.
Prior to joining Brown Rudnick, Eleni completed a secondment as sole in-house counsel at a private equity fund investing in asset-backed special opportunities and worked at Vinson & Elkins and Jones Day.
A special situations fund as a direct lender on the origination and refinance of its bespoke, sponsor-to-sponsor, bilateral mezzanine loan to a global real estate investment and asset management firm including a partial repayment via the issuance of convertible loan notes.
An investment bank on the acquisition of non-performing loan portfolios and various shipping loans.
A New York-based investment firm on the finance aspects of its equity line investment in a specialist aircraft finance company.
Asset Finance / Acquisition Finance
An agricultural and industrial inputs business based in Sub-Saharan Africa, on a complex refinancing of the group’s senior and bilateral facilities including adding a €150 million borrowing base facility in various OHADA jurisdictions.
Goldman Sachs, Deutsche Bank, and other banks in relation to a leading coffee machine manufacturer’s offering of €550 million Senior Secured Notes due 2026 and super senior revolving credit facility.
Helios Investment Partners (a leading Africa-focused private investment firm) on its carve-out acquisition and financing of Louis Dreyfus’s Africa-based fertilizer group. The deal was awarded Commodity Acquisition Finance Deal of the Year by TXF.
TXF noted the deal was “the first structure of its kind within the commodity finance space, Helios’ innovative blend of leverage finance and trade finance techniques raised both the necessary funding for its purchase, and post-acquisition trade finance for the acquired asset”.
Acting for Africa Oil Corp. on the financing of its acquisition of a 50% ownership interest in Petrobras Oil and Gas B.V. (with a valuation of $1.407 billion).
A US private equity sponsor on its €3.17 billion carve-out acquisition of a global construction chemicals business from a German public company.
Real Estate Finance
A special situations fund as a joint venture investor in a ground rent transaction (the sale and leaseback of over 50 UK properties) in the care home sector.
A pension fund on its first UK investment, a £400 million joint venture with the developer constructing Principal Place, London (now Amazon Headquarters).
RoundShield Partners on two platform facilities financing property acquisitions.
Meyer Bergman in relation to the development of a large Westfield in Yorkshire, a secured term loan for the acquisition of properties in Milan and several other property acquisitions in the UK and Europe.
An investment fund as direct lender on a platform facility to a student/graduate housing group.
A direct lender on the financing of a care home group in Jersey.
A Singaporean bank as lender on the acquisition financing of a property in central London.
Bank of East Asia as lender in connection with a credit facility for the development of a mixed-use residential and commercial property in Westminster, London.
A US bank as lender providing funds to a listed property investment company for the development of a supermarket and storage facilities in Kent.
