Sarah Melaney is a Partner in the Firm's Corporate Practice Group. Sarah advises clients on a broad range of corporate transactions including venture capital, mergers and acquisitions, corporate governance, and equity capital markets.
Sarah has extensive experience in advising on impact investment, digital health, clean energy, fintech and edtech deals. Prior to joining Brown Rudnick, Sarah was a senior associate at Baker Botts.
In recent years, Sarah has worked on the following matters:
Liberty Media – Lead Associate on the acquisition of Formula One from CVC Partners.
London Trust Media – Advised shareholders of LTMI Holdings on its acquisition by Kape Technologies plc.
Cambridge Cognition Holdings plc – Led the IPO of the company in 2014 and has completed all secondary placings and corporate governance work.
American Industrial Partners – Lead Associate coordinating workstreams in all countries, excluding the USA, in respect of the purchase of Anixter International Inc.’s OEM supply business. The transaction involved 21 different jurisdictions and over 10 different law firms.
American Industrial Partners – Lead Associate coordinating the joint venture with Manroland Web Systems, including the prior tax restructuring.
EQT Production – Public company law advice to the US team in respect of the $575 million sale of wells and pipeline to Diversified Gas and Oil plc.
Ananda Ventures – Relationship Manager for the client completing all venture capital investments governed by English law.
Nesta – Relationship Manager for the client completing all venture capital investments.
Recycling Technologies – Acting as quasi in-house Counsel to Recycling Technology completing all investment round documentation, all commercial agreements, and corporate governance work.
Allenby Capital – Advised the nomad on the secondary placing by N4 Pharma.
Merchant Securities Group plc – Assisted with the recommended cash offer by Sanlam Private Investment Holdings UK, valuing Merchant Securities Group plc at £12.247 million.
Undisclosed – Advised a Japanese large listed corporate on its investment into a battery storage project in the UK.
Undisclosed – Advising an AiM-listed entity on its senior management team incentive arrangements and its obligations under the AiM Rules and the QCA guidelines.
