Henry Kikoyo practices in the areas of debt and corporate restructuring, corporate refinancing and debt trading acting for lenders, bondholders, distressed investors and debtors (including Governments).   Henry has worked with lenders and/or investors at all levels of the capital structure to assist with finding innovative turnaround solutions in relation to companies in financial difficulties.  Henry has significant experience in complex cross-border transactions and has been involved in a significant number of the major restructuring transactions in Europe, South America, Australia and Africa in recent years.  

More recently Henry has developed a particular focus on emerging markets, in particular Africa and Eastern Europe.   Henry spearheads the Africa practice with a focus on debt and corporate restructuring, secondary capital raising and non-bank lending transactions.  Henry’s Africa practice also includes advising clients on lending and investment matters in sub-Saharan Africa such as project finance, real estate investments, project development, political risk mitigation, capital raising and exit options. He is currently advising various Governments in relation to the restructuring of State Owned Entities, applying best practice strategies even in jurisdictions which may not yet have the appropriate enabling legislation.

Henry's debt trading practice includes representing market participants in the secondary market in relation to the acquisition and disposition of debt products including bank loans (corporate and real estate), trade claims and other financial claims, throughout Europe and various emerging markets.  As part of this practice Henry assists clients with the legal analysis and review of documentation relating to the debt products.

Henry brings to this practice practical business experience having previously worked as a project manager for a major US energy company.

Previously, Henry trained and qualified as an associate in the Financial Restructuring department of the London office of Cadwalader, Wickersham & Taft LLP.  He is admitted as a Solicitor in England and Wales and also has qualifications in Ugandan law.


Restructuring & Insolvency

Currently advising TACV and the Government of Cabo Verde in relation to a restructuring of the airline.

Advised in relation to the restructuring of an airline in Kenya with domestic operations and regional operations in Tanzania, South Sudan and Rwanda.

Representing a group of bondholders in relation to the restructuring of Pescanova, a Spanish fishing companies with debts in excess of EUR 1 billion and with assets in several jurisdictions including in Europe, South America and Africa.

Recently advised a Swedish hedge fund in relation to the restructuring of PA Resources AB, a Swedish oil and gas company with exploration assets in Tunisia, Congo, Guinea and the North Sea.

Advised a UK consortium in relation to distressed investment in oil storage facilities in Takoradi, Ghana.

Recently advised the largest creditor in the restructuring of Homburg Invest Inc., a Canadian real estate company. The company had over EUR 1 billion of senior debt and EUR 400 million of junior bonds held by retail investors, which was restructured culminating into the creation of Geneba Properties N.V. a new Dutch real estate investment company.

Represented an ad hoc group of bondholders in the restructuring of Artumas, an oil and gas exploration company with assets Tanzania and Mozambique.

Advising in relation to the restructuring of a telecom business in Nigeria.

Recently advised a Canadian investor in relation to the purchase from PricewaterhouseCoopers Inc., in its capacity as receiver to the assets of Fletcher Leisure Group Inc. and Fletcher Leisure Group Ltd.

Recently advised a Japanese bankruptcy trustee in relation to the recognition of Japanese bankruptcy proceedings of MtGox (a bitcoin business) and the recovery of certain assets of MtGox in the UK.

Recently advised a BVI liquidator of Westmoreland Estates Limited in relation to the recognition of the BVI liquidation proceedings in the UK.

Advising an ad hoc group of noteholders of notes issued by A-TEC Industries AG, an Austrian company, in relation to the restructuring of the company.

Represented the Official Creditors Committee in the bankruptcy proceedings of Lyondell Chemical Company, one of the world’s largest chemical companies.

Represented a syndicate of second lien lenders in the restructuring and refinancing of €405 million debt of Schefenacker plc (now Visiocorp plc), a German car parts maker.

Advised MBIA Assurance S.A., the largest creditor to Eurotunnel plc, in the restructuring of £6.2 billion in debt from Eurotunnel plc.

Represented the senior lenders in the restructuring of The Polestar Group Ltd.

Represented a mezzanine lender in the restructuring of Leisure Link Holdings Ltd.

Debt Trading & Distressed Investing

Acting for numerous distressed investors in relation to debt trading in several jurisdictions including UK, Germany, France, Spain, Iceland, Netherlands, Greece and the US. Examples include Iceland: Landsbanki & Kaupthing; France: Pages Jaunes, Emin Leyder, Groupe Monituer, Vivarte, Wheelabrator, Moliflor & Bonham; UK: Technicolor, Charterhouse, Bellotto, Gala, Taylor Wimpey, Quinn & Connaught; Germany: Rodenstock & Mauser; Spain: Panrico, Endeka, Telepizza, Cableuropa & Deleo.

Recently advised a group of investors in relation to an auction and purchase of senior debt of the international bank of Azerbaijan.

Recently advised a distressed investor in relation to the purchase of the senior debt of OJer Telecommunications, one of the biggest telecom companies in Turkey.

Representing a distressed investor in relation to a debt to acquire of a real estate loans for a portfolio of properties in the UK.

Acting for numerous clients in the purchase and sale of claims against the Lehman entities, guarantee claims and claims based on terminated derivative, prime brokerage and margin lending agreements, including the filing of proofs of debt.

Project Finance & Development / Africa Practice

Currently advising a UK company in relation to the development and financing of a renewable energy project in Mozambique.

Advising a Ghanaian company in relation to the financing of an oil storage facility.

Represented Aldwych International Ltd. in its start-up operations, as well as its bid for a concession to develop a hydropower project in Africa.

Advised large UK based telecommunications company in relation to a potential acquisition of Econet Wireless Nigeria Limited, a large GSM provider in Nigeria.

Represented an investor in the acquisition of the Mopani Copper Mines plc in Zambia.
