Bankruptcy & Corporate Restructuring


Charles Moulette is an attorney in the Bankruptcy and Corporate Restructuring Group in the Paris office. He has developed solid experience in corporate law, mergers and acquisitions and private equity transactions (LBO – MBO) in major Anglo-Saxon and French law firms.

Charles is involved in corporate, M&A and financing transactions in various sectors of activity, including industry services, real estate, insurance, communication, leisure and entertainment.

He is also involved in the acquisition of companies in difficulty and more generally in bankruptcy proceedings (safeguard proceedings, receivership, winding-up), including proceedings in order to prevent the difficulty of the companies (“mandate ad hoc” and “conciliation”).

Charles is fluent in French, English and Spanish.


Some of Charles' recent notable engagements (including prior to joining Brown Rudnick) include:

LOCATEL, multimedia solutions’ provider to hotels and hospitals: assistance in the purchase offer in view of judicial acquisition of the assets of CODIAM subject to an insolvency proceedings, and then, in 2014, negotiation of the sale of the Locatel Group to Hoist Group.

FRAM, hotels and tourism (French leader, 3000 employees: Ad hoc mandate. Participated in all CIRI (interministerial committee) negotiations and all industrial restructuring transactions. Assisted client in discussions relating to sale of assets (40M€), restructuring and pre-pack process.

ODO, operator of a five-star hotel, La Maison des Centraliens, Paris: ODO was facing heavy debt and delays in executing its business plan resulting from (i) underestimating the cost of renovation work needed and (ii) an overly expensive lease. Renegotiated the debt (2M€) and obtained major contributions from investment funds (2M€), halting the lessor’s actions.

Nofrag NFI, construction leader, French West Indies: In charge of the receivership leading to a restructuring.

Hill Street, SPV of investments funds in luxury hotel business: Implemented a 20M€ takeover in the context of a recovery plan, in order to take control of a luxury five-star hotel located in St Barthelemy. Following insolvency proceedings, negotiated agreements with the previous owner and implemented the whole documentation with investors and final set-up of the takeover.

Saint Barthelemy Holding, luxury hotel development program: Lead counsel among US, Luxemburg, Cayman and Hong Kong lawyers in the context of the refinancing and restructuring of a 100M€ hotel program in St Barthelemy. First organised the refinancing by means of a REIT of Colony Capital for 50M€, with a 25M€ equity contribution by investors at the end of 2013. Next organised a second refinancing by Colony for more than 12M€ in the second half of 2014, with a 6M€ equity contribution and restructuring of the capital and real estate program.

Radisson, hotels and tourism: In 2014 La Francaise AM refinanced up to 37M€, including 26.5M€ initially financed by CACIB and BESV (up to 10M€) the senior debt of three luxury hotels located in Paris.

Advising a French Group specialized in investments in real estate (100 companies owning real estate properties valued at M€ 500): negotiation of a conciliation agreement restructuring its Group and allowing to obtain M€ 100 new debts refinancing.

Advising a French industrial Group in the closing of one of its industrial site.

Advising a key player in engineering and consultancy in advanced technologies for industries and services: restructuring operations including the renegotiation of its financial debts and the sale of several subsidiaries and of some real estate properties.
