International law firm Brown Rudnick LLP has advised international commodity trading group ED&F Man on its acquisition of Maviga, a specialist crops trading firm.

The transaction involved cross-border legal advice and due diligence across 11 jurisdictions in Europe, North America, Africa and Asia.  Although the target was a PLC the deal was structured as a private acquisition containing various novel features.

Philip Rogers, Partner and Head of Brown Rudnick’s Corporate Emerging Markets practice, led a close-knit team of Brown Rudnick lawyers in the UK and US and correspondent firms across the world to complete the deal within three months after instruction.

Philip Rogers commented: “Maviga is an excellent strategic fit with ED&F Man as a means to capitalise on growth in demand for protein crops. The deal was carefully structured to meet the parties' expectations and involved a wide range of jurisdictions many in emerging markets where we were able to bring to bear our knowledge and insights."

ED&F Man commented: "Brown Rudnick's practical advice for a multifaceted transaction was invaluable in getting the deal done."
